CONTRACT NEGOTIATIONS: DEFINITION OF PUBLIC AND PRIVATE ASPECTS

This article examines contract negotiations in the civil law of the Republic of Uzbekistan through the prism of distinguishing between public and private legal regulation. The relevance of the study is determined by the expansion of the scope of application for special procedures for concluding contracts under conditions of market economy development and the reduction of state participation in economic activities. The aim of the study is to determine the legal nature of publicly regulated negotiations and to substantiate their place in the civil law system. Formal-legal, comparative-legal, and systematic research methods were used in the work, which allowed for the analysis of civil legislation and special sectoral regulation norms in the fields of public procurement, public-private partnership, privatization, and electronic commerce. As a result of the study, it was established that publicly regulated negotiations represent a special category of pre-contractual relations operating under conditions of dual regulation: general civil law norms and special public law requirements. It is substantiated that negotiations in the fields of public procurement, public-private partnership, privatization, and electronic commerce are not exclusively a public-legal phenomenon, but constitute a hybrid legal relationship in which the organizational and procedural stage is regulated by public law, while the contractual relations of the parties retain their private-legal nature. It has been established that the principle of integrity, as a basic principle of civil law, extends to all stages of such negotiations and serves as a universal regulator of participants’ behavior. It was concluded that the formation of the institution of publicly regulated negotiations reflects modern trends in the development of civil legislation in the Republic of Uzbekistan, aimed at expanding private initiative while maintaining the necessary mechanisms for public control and protecting state interests.
